AWD E-BIKE Terms of Use

■Article 1 (General Provisions)

This agreement (hereinafter referred to as "this Agreement") stipulates the contract (hereinafter referred to as "Rental Agreement") between individuals borrowing an E-BIKE for rent from the all-wheel-drive (AWD) operated by Gift Life Co., Ltd. (hereinafter referred to as "the Company"). Any matters not specified in the terms of use shall be governed by laws or general customs.

■Article 2 (Reservation)

  1. Reservation Application

    (1) Users, when renting an E-BIKE, can make a reservation by agreeing to the specified fees on the company's website. They need to confirm and provide details such as the model, rental start date and time, rental duration, user information, necessity of accessories such as helmets, and other conditions (hereinafter referred to as "Rental Conditions").

    (2) When a reservation application is made by the user, the company will generally respond to the reservation within the range of E-BIKES owned by the company. In this case, unless expressly permitted by the company, the user is required to pay the company's specified rental fee.

    (3) A facial photograph ID for identity verification is required during the rental. If deemed necessary by the company, a security deposit may also be collected. The refund of the security deposit will be processed upon the return of the vehicle.

    (4) In the absence of identification or if the identification has expired, the company reserves the right to refuse vehicle rental.

  2. Reservation Modification

    Users must obtain the company's approval when attempting to modify rental conditions.

  3. Reservation Cancellation, etc.

    (1) Users and the company will conclude the E-BIKE rental contract when the user applies for E-BIKE rental on the company's website until the rental start date and time specified in Paragraph 1. The company will send a reservation confirmation email to the user.

    (2) Users and the company can cancel reservations by notifying each other through email or phone.

    (3) In the event of user-initiated cancellations, the user is required to pay the company's specified cancellation fee. Upon payment of this fee, the company will refund the received reservation application fee to the user.

    Cancellation Fees:

    • Cancelation 6 to 3 days prior: 20% of the fee
    • Cancelation 2 days prior: 50% of the fee
    • Cancelation 1 day prior: 80% of the fee
    • Same-day cancelation: 100% of the fee (In the case of cancellations due to adverse weather conditions, no cancellation fees will be charged. Adverse weather conditions refer to rain, snow, wind, thunder, or fog alerts or warnings issued in the delivery area 3 hours before the start of the rental date)

    (4) In the event of company-initiated cancellations, the company will refund the received rental fee to the user.

    (5) Users and the company agree not to make any claims against each other in the event of reservation cancellations or failure to conclude a rental contract, except as provided in this article and the next article.

■Article 3 (Rental)

  1. Conclusion of Rental Agreement

    (1) The user shall confirm the rental conditions from the displayed rental fees on the web and the terms of use, and the company will conclude the rental agreement by sending a reservation confirmation email to the user after confirming the details of the application.

    (2) The user or driver, when entering into a rental agreement, shall comply with the obligations stipulated for the driver in the terms of use.

    (3) In concluding a rental agreement, the company will request the user to provide the driver's name, address, phone number, etc., and submit a copy of the driver's license or a photo ID with a passport for identity verification.

    (4) In concluding a rental agreement, the company will request the user or driver to provide an emergency contact, such as a mobile phone number.

    (5) In concluding a rental agreement, the company may specify payment methods such as credit cards or cash to the user.

    (6) If the user or driver does not comply with this section, the company may refuse to conclude the rental agreement and may cancel the reservation. In this case, the handling of rental fees will be subject to Article 2, Section 3, Item 5.

    (7) If the driver plans to use the vehicle frequently for delivery services or similar high-frequency activities, prior declaration is mandatory before rental. If used for business without prior notice, compensation may be claimed under Article 4, Section 3, or Article 6, Section 2, Item 4.

  2. Refusal of Rental

    (1) The company may refuse to conclude a rental agreement and cancel a reservation if the user or driver falls under the following:

    • Does not meet the proper height for an E-BIKE.
    • Discrepancy between application information and personal identification documents.
    • Past delays in rental fees or failure to pay repair costs.
    • Presence of alcohol intoxication.
    • Symptoms of addiction to drugs, stimulants, thinner, etc.
    • Evidence of rental agreement violations in the past by the company or the company group.
    • Acts in violation of these terms of use.
    • Inability to determine whether the user or driver has understood these terms of use.
    • Other cases deemed inappropriate by the company.

    (2) If the user or driver falls under the category of organized crime groups, related companies, extortionists, individuals engaged in social movements, political activists, or special intelligence violent groups, and if the directors, executive officers, or others who effectively control management fall under the category of members of the above groups or other antisocial forces, the company can terminate the rental agreement without any notice.

    (3) If the user or driver, either directly or through a third party, engages in the following acts regarding the rental agreement, the company can terminate the rental agreement without any notice:

    • Acts using threatening words or behavior towards the other party.
    • Acts of hindering the business of the other party through fraud or force, or damaging trust.

    (4) If the company terminates this contract based on the provisions of each item of this section, the company is not obliged to compensate the user or driver for any damages. In addition, if the termination causes damages to the company, the user or driver is obligated to compensate for those damages.

    (5) Notwithstanding the preceding paragraph, even in the following cases, the company can refuse to conclude a rental agreement and cancel a reservation:

    • When there are no E-BIKEs available for rental.

    (6) In the case where the company refuses to conclude a rental agreement based on the provisions of each item above, the handling of reservation application fees, etc., is subject to Article 2, Section 3, Item 5.

  3. Establishment of Rental Agreement

    (1) The rental agreement is concluded when the user applies for rental on the web, the company sends a reservation confirmation email to the user, and the E-BIKE (including accessories) is handed over.

    (2) The handover in the preceding paragraph shall be carried out at the rental start date and the rental vehicle rental location specified in Article 2, Section 1.

  4. Rental Fees

    (1) The rental fee refers to the total amount, and the company will clearly indicate the respective amounts and their references on the web, including the basic fee, optional riding equipment fee, and other fees.

    (2) If the company revises the rental fee after completing the reservation according to Article 2, Section 1, the user shall pay the lower of the fees applied at the time of completion of the reservation and the fees at the time of lending.

  5. Change of Rental Conditions

    The user must obtain the company's approval if they attempt to change the rental conditions stipulated in Article 3, Section 1, Item 1 after the conclusion of the rental agreement.

  6. Inspection and Maintenance, etc.

    (1) The company will conduct an inspection of the E-BIKE and provide the user with an E-BIKE that has undergone necessary maintenance.

    (2) The user or driver, in renting an E-BIKE, shall confirm the absence of maintenance defects in the E-BIKE and ensure that the E-BIKE meets the rental conditions.

■Article 4 (Use)

  1. User's Management Responsibility

    The user or driver must use and store the E-BIKE with the care of a good administrator from the time of delivery until its return to the company (hereinafter referred to as "during use").

  2. Prohibited Acts

    The user or driver shall not engage in the following acts during use:

    • Use or allow someone other than the driver specified in Article 2 to drive the E-BIKE for purposes other than the designated use.
    • Violate traffic regulations, such as riding with two or more persons, and use the E-BIKE in violation of laws or public morals.
    • Modify or alter the E-BIKE or change its original condition.
    • Use the E-BIKE for various tests or competitions without the company's approval (including circuit driving and off-road driving, excluding general road use).
    • Take the E-BIKE out of Japan.
    • Use the E-BIKE for competitions, stunts, tests, or at locations designated for competitions, stunts, or tests.
    • Use the vehicle for frequent applications such as delivery without prior notice.
    • Engage in any other acts that violate the rental conditions in Article 3.
  3. Handling of Abandoned E-BIKES

    1. If the user or driver parks or leaves the E-BIKE in a prohibited area and incurs expenses such as removal or storage of the parked or abandoned E-BIKE, usage fees until return, or other damages to the company, the user shall compensate for such damages.

    2. If the user or driver fails to complete the return procedures for the E-BIKE, or if the company incurs expenses for locating, managing, moving, or retrieving the vehicle, the user or driver shall pay the following expenses to the company by the specified date:

      • Equivalent amount to the cost of removing and returning the abandoned bicycle.
      • Search costs and vehicle management costs.

■Article 5 (Return)

  1. User's Return Responsibility

    (1) The user shall return the E-BIKE to the designated return location by the end of the rental period.

    (2) In the event the user cannot return the E-BIKE within the rental period due to natural disasters or other force majeure, the user shall immediately contact the company and follow the company's instructions.

  2. Confirmation of E-BIKE, etc.

    (1) The user shall return the E-BIKE, except for deterioration or wear due to normal use, in the same condition as it was at the time of delivery, either in the presence of the company or its designated representative. Return without attendance is allowed only if approved by the company.

    (2) The user shall confirm the absence of personal belongings of the user, driver, or any passengers inside the E-BIKE before returning it. The company shall not be responsible for the storage of any items left in the E-BIKE after return.

  3. Return Period, etc.

    (1) In the event the user extends the rental period by Article 3, Section 4, Item 2, the user shall pay the rental fee corresponding to the modified rental period.

    (2) If the user returns the E-BIKE beyond the initially agreed rental period without obtaining the company's approval, the user shall pay, in addition to the fees mentioned in the preceding paragraph, a default fee equal to double the overdue fee for the excess time.

  4. Return Location, etc.

    (1) If the user changes the designated return location based on the rental agreement, the user shall bear the cost of transporting the E-BIKE for the change of return location (hereinafter referred to as "transportation cost").

    (2) If the user returns the E-BIKE to a location other than the designated return location without obtaining the company's approval as per Article 3, Section 4, Item 2, the user shall pay a default fee equal to double the transportation cost.

  5. Measures in Case E-BIKE is Not Returned

    (1) In the following cases, the company shall take legal actions, including criminal prosecution and any necessary measures to confirm the whereabouts of the E-BIKE.

    • When the rental period has expired, and the user does not comply with the company's return request.
    • When the user's whereabouts are unknown, suggesting non-return.
    • When the company discovers facts corresponding to Article 7, Section 2, and the user does not comply with the return request.

    (2) In each case mentioned in the preceding paragraph, the user shall pay the company for the expenses incurred for the search of the user and the recovery of the E-BIKE.

  6. Agreement on Registration and Use of Rental Information

    (1) Regardless of the provisions regarding the handling of personal information in these terms of use, the user and the driver agree that information based on objective rental facts, including names, date of birth, driver's license, passport numbers, etc. (hereinafter referred to as "rental information"), will be registered in the AWD rental data operated by the company.

■Article 6 (Measures in Case of Malfunction, Accident, or Theft)

  1. Breakdown of E-BIKE

    The user or driver, upon discovering any abnormalities or breakdowns during use, shall immediately cease use, contact the company, and follow the company's instructions.

  2. Accident

    (1) In the event of an accident during use of the E-BIKE, the user or driver shall immediately cease operation, take legal measures regardless of the size of the accident, and take the following measures:

    • Promptly report the situation of the accident to the police and the company, following the company's instructions.
    • If repairs to the E-BIKE are necessary based on the company's instructions, except as approved by the company, such repairs shall be carried out by the company or a shop designated by the company.
    • Cooperate with the investigation of the accident by the company and the insurance company contracted by the company, and promptly submit any documents requested by the company or the insurance company.
    • Obtain prior approval from the company before reaching a settlement or agreement with the other party in case of an accident.

    (2) In addition to the above, the user or driver shall be responsible for handling and resolving the accident at their own risk.

    (3) The company will provide advice and assistance in the resolution of the accident for the user or driver. However, the company assumes no responsibility for accidents, injuries, or other issues that occur during the rental period.

  3. Theft

    In the event of theft of the E-BIKE or any other damage during use, the user or driver shall take the following measures:

    • Reimburse the company for the new market selling price (manufacturer's suggested retail price, etc.) of the lost or stolen E-BIKE.
    • Immediately report to the nearest police station.
    • Promptly report the situation to the company and follow the company's instructions.
  4. Termination of Rental Agreement due to Unavailability

    (1) If the E-BIKE becomes unusable due to breakdowns, accidents, theft, or other reasons (hereinafter referred to as "malfunctions"), the rental agreement shall be terminated during the rental period.

    (2) In the event of the above, the user or driver shall bear the costs of picking up and repairing the E-BIKE, and the company will not refund the rental fee already received, except in cases where the malfunction is due to the reasons specified in paragraphs 3 or 5.

    (3) If the malfunction is due to defects that existed before the rental, the user may receive a replacement E-BIKE from the company. The conditions for providing a replacement E-BIKE shall be governed by the provisions of Article 2, paragraph 4.

    (4) If the user does not accept the replacement E-BIKE mentioned in the preceding paragraph, the company will refund the entire received rental fee. However, the same applies if the company cannot provide a replacement E-BIKE.

    (5) In the event that the malfunction is caused by reasons attributable to the user, driver, or the company, the company will refund the user the remaining amount after deducting the rental fee corresponding to the period from the lending to the termination of the rental agreement from the received rental fee.

    (6) Except for the measures stipulated in this article, the user and driver may not make any claims against the company for damages resulting from the inability to use the E-BIKE.

■Article 7 (Compensation and Indemnification)

  1. User's Compensation and Business Compensation

    (1) If the user or the driver causes damage to a third party or the company during use, they are responsible for compensating for the damage, except for reasons attributable to the company.

    (2) Regarding the damages incurred by the company, such as accidents, theft, faults due to the user's or driver's responsibility, and damages resulting from the inability to use the E-BIKE, the user or the driver shall be responsible for payment.

  2. Termination of Rental Agreement

    The company reserves the right to terminate the rental agreement without prior notice if the user or the driver violates the terms of use during the rental period. In such cases, the company can immediately demand the return of the E-BIKE or retrieve it. The company will not refund any rental fees already received.

  3. Purpose of Using Personal Information

    (1) The user (including those applying for a rental agreement) and the driver agree that the company may use their personal information for the following purposes. Please note that to ensure the accuracy of customer inquiries and communications, telephone conversations with customers may be recorded.

    • To verify and review the user's or driver's identity.
    • To disclose and provide the user's personal information to third parties entrusted with the company's business activities within the necessary scope of the rental agreement.
    • To inform the user or the driver about E-BIKE, insurance, and other products, services, events, campaigns, etc., handled by the company through methods such as sending advertising materials or emails.
    • To conduct customer satisfaction surveys or questionnaires for product development and improvement purposes.
    • To obtain location information, travel route information, etc., through GPS on the E-BIKE for providing the service.
    • To aggregate and analyze personal information statistically, creating processed statistical data that cannot identify or specify individuals.
    • If personal information is acquired for purposes other than those stated above, the company will clearly specify the purpose before obtaining the information.

    (2) If the user's or driver's personal information, such as address, email, or phone number, changes during the rental period, they should promptly contact AWD staff to communicate the changes.

■Article 8 Miscellaneous Provisions

  1. Offset

    When the Company incurs a monetary obligation to the User based on the terms and conditions, the User is entitled to offset any monetary obligation owed to the Company at any time.

  2. Consumption Tax

    The User shall pay the consumption tax imposed on transactions based on the terms and conditions to the Company.

  3. Late Payment Damages

    In the event of a delay in the performance of monetary obligations based on the terms and conditions by the User, Driver, or the Company, the party in default shall pay late payment damages at an annual rate of 14.6%.

  4. Governing Law, etc.

    (1) The governing law shall be Japanese law.

    (2) In case of any inconsistency between the Japanese version and the English version of the terms and conditions, the Japanese version shall prevail.

  5. Terms of Use

    (1) The Company may revise the terms of use or establish separate rules without prior notice.

    (2) When the Company revises the terms of use or establishes separate rules, it will be recorded in pamphlets, rate charts, and on the website. The same applies to changes to these.

    (3) In the case of individual rental conditions communicated between the User and the Company before the start of the rental, such conditions will take precedence over the matters stated in these terms.

  6. Jurisdiction

    In the event of a dispute arising from rights and obligations based on these terms and conditions, the exclusive agreed jurisdiction court shall be the court with jurisdiction over the Company's head office location.
